1. Agreement
By downloading, installing, or using Vantage Plan ("the Software"), or by purchasing a licence for it, you agree to these Terms of Service ("Terms"). If you do not agree, do not install or use the Software.
These Terms are between you and Ventaja Group Pty Ltd (ABN 77 701 847 798), the company that develops and operates Vantage Plan, based in Orange, New South Wales, Australia ("we", "us", "our").
2. Licence
What you get
When you purchase Vantage Plan, you receive a non-exclusive, non-transferable licence to install and use the Software on Macs that you personally own or control, for as long as you wish, subject to these Terms.
The licence type depends on what you purchased:
- Basic (one-time purchase): the core execution workspace, with all included features at the time of purchase, used in perpetuity.
- Pro (one-time purchase): the full edition including all premium modules at the time of purchase, used in perpetuity.
- Pro Features Add-on (annual or monthly): premium modules layered on top of an existing Basic licence, available while the subscription is active.
- Founder's licence (one-time, limited): a launch-only licence for the first 100 buyers, granting Pro at a discounted rate, used in perpetuity, with the additional commitments described on the Founder's page.
What you cannot do
- You may not redistribute, resell, sublicense, or rent the Software.
- You may not reverse-engineer, decompile, or disassemble the Software except where this restriction is expressly prohibited by applicable law.
- You may not remove or alter copyright notices.
- You may not use the Software to build a directly competing product.
Updates
We may release updates that add, modify, or remove features. Updates to your purchased version are provided at our discretion. Major version upgrades may require a separate purchase and will be clearly identified as such.
Ownership scope
The "Pay once. Own forever." pledge appears across our marketing copy. This section defines what that means in practical terms — what the licence covers, where its boundaries sit, and what we do and do not promise.
Your licence is perpetual for the V1 series. When you purchase a Basic or Pro licence, including a Founder's licence, your right to install and run the V1 series of the Software does not expire. There is no renewal, no recurring fee, no time-limited activation. You retain the version you bought, indefinitely, subject to these Terms.
Supported operating systems. Your V1 licence is supported on the operating system versions current at the time of release and a reasonable window of subsequent OS releases — typically the current macOS major version and the next two major versions for macOS; the current iOS / iPadOS major version and the next major version for iOS and iPadOS. We make commercially reasonable efforts to maintain compatibility within that window.
Future operating systems. Beyond that window, we make no warranty that V1 will continue to install or function on future macOS, iOS, or iPadOS versions. Apple may introduce platform-level changes — API removals, architecture transitions, security-model changes — that affect compatibility. If V1 stops working on a future OS, your remedies are: (a) keep using V1 on a compatible OS, or (b) purchase the next major version (V2 or later) at the then-current price.
V2 and beyond. When we ship a future major version (V2, V3, etc.), it is a separate purchase, not a forced upgrade. You may choose to upgrade or stay on the version you own. Skipping a major version does not invalidate your existing licence. Founder's licences carry the same V1 scope as regular Basic and Pro licences. Founder status is a permanent acknowledgment in the app, not a separate ownership tier.
Mobile companion included. The Vantage Plan companion app for iPhone and iPad (iOS and iPadOS) is included at no extra cost with every tier: Free, Basic and Pro. There is no separate mobile licence. On a Basic or Pro licence, the companion shares the same V1 scope as the macOS app. On the Free tier, it works within the Free tier's limits.
What this section is not. This section is not a statutory warranty or a guarantee of perpetual functionality regardless of context. It is the operational scope of the ownership pledge as we run the business. The disclaimers in §5 (the Software is provided "as is") and the limitations of liability in §6 govern the underlying legal framework.
3. Purchases, refunds, and payments
Where you can buy
Vantage Plan is sold through the Mac App Store and (optionally) directly from us via our payment provider, Lemon Squeezy. For App Store purchases, Apple's terms also apply. For direct purchases, Lemon Squeezy acts as the Merchant of Record and handles taxes, refunds, and payment processing.
Refunds
- Mac App Store purchases: governed by Apple's refund policy.
- Direct purchases via Lemon Squeezy: we offer a 14-day refund window from the date of purchase, no questions asked, provided you have not abused the licence. Email
[email protected]to request a refund.
Pricing and currency
Prices are shown in your local currency where possible and are inclusive of applicable taxes (handled by Lemon Squeezy for direct sales). Prices may change over time; the price in effect at the time of your purchase is the price that applies to your purchase.
4. Your data
Vantage Plan is local-first. Your project files live on your Mac. We do not store, sync, or access your project data unless you explicitly send it to us (for example, attached to a support email).
How we handle the limited data we do collect is described in our Privacy Policy at https://vantageplan.app/privacy.
5. The Software is provided "as is"
We work hard to make Vantage Plan reliable, but to the maximum extent permitted by law, the Software is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components, or that defects will be corrected.
You are responsible for backing up your data. While Vantage Plan stores data locally and we strive to make corruption-resistant choices, no software can guarantee against data loss arising from hardware failure, user error, or unforeseen bugs.
6. Limitation of liability
To the maximum extent permitted by applicable law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of (or inability to use) the Software, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or the Software is limited to the amount you paid us for the Software in the twelve months preceding the claim.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including under the Australian Consumer Law.
7. Australian Consumer Law
If you are an Australian consumer, you have rights under the Australian Consumer Law that cannot be excluded by these Terms, including guarantees that goods are of acceptable quality and fit for purpose. Nothing in these Terms is intended to exclude, restrict, or modify those rights.
8. Termination
You may stop using the Software and delete it at any time. Your licence to use the Software ends if you breach these Terms. Provisions that by their nature should survive termination — including ownership, disclaimers, and limitations of liability — will survive.
9. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. Material changes will be communicated by email to active customers and announced on this page. Your continued use of the Software after changes take effect constitutes acceptance.
10. Governing law
These Terms are governed by the laws of New South Wales, Australia. Any dispute arising out of or in connection with these Terms is subject to the non-exclusive jurisdiction of the courts of New South Wales.
11. Contact
Email: [email protected]
Postal address: available on request to that email.
12. Third-party software and services
Vantage Plan can work together with software and services that we do not own, control, or supply. Depending on the features you choose to enable, these may include Google Calendar, Apple Calendar, cloud AI providers such as Anthropic, OpenAI and Google, and local AI model software such as LM Studio together with any language model you choose to run in it.
We do not bundle, distribute, install, host, or supply any of this third-party software. Where you choose to use it, you obtain it yourself, and your use of it is governed by that third party's own terms and licences rather than by these Terms. Complying with those terms is your responsibility.
We are not responsible for third-party software or services — for their availability, performance, accuracy, security, pricing, or continued existence, or for any change a third party makes to them. If a third party changes, withdraws, or breaks its software, service, or interface, a feature of Vantage Plan that depends on it may stop working. That does not, by itself, entitle you to a refund beyond the remedies described in these Terms and any rights you have under the Australian Consumer Law.
Charges from third parties are yours. Where a third-party service charges for its use — for example, a cloud AI provider billing your own account — those charges are between you and that provider. We do not resell third-party services and we take no margin on your use of them.
13. AI features
Vantage Plan includes optional AI features, available on the Pro tier. You choose whether to enable them, which provider to use, and what information to send.
AI output may be wrong. Language models can produce inaccurate, incomplete, outdated, or entirely fabricated information — including in numbers, dates, costs, quantities, quotes, and schedules. The AI features in Vantage Plan can create and modify records in your workspace, including tasks, schedules, budgets, cost entries, quotes, and invoices.
You are responsible for checking AI output before you rely on it. Treat anything the AI produces as a draft for your review, not as professional advice and not as a substitute for your own judgement. Review AI-generated content before relying on it, sending it to a client, or using it in any commercial, financial, contractual, or legal decision. We do not warrant the accuracy, completeness, or fitness for purpose of any AI output.
Choosing a model is your decision. Where you use a cloud provider, that provider's terms govern the exchange and its model is chosen by that provider. Where you choose instead to run a model locally on your own computer, you select the model yourself. Models differ enormously in capability, accuracy, and behaviour, and some are entirely unsuitable for business use. We do not supply, bundle, endorse, or recommend any specific model. Determining whether a model you have chosen is fit for your personal or business requirements, whether it functions correctly for your purposes, and whether your use of it complies with that model's own licence, is your responsibility.
Controls are available to you. Vantage Plan provides workspace-level controls over what the AI can reach: AI can be switched off entirely for a workspace, restricted to conversation only with no access to your workspace data, or given full access. A separate feature can mask identifying details before anything is sent to a cloud provider, and the local model option keeps the exchange on your own machine. These controls are described in the app and in our Privacy Policy.
Nothing in this section limits your rights under the Australian Consumer Law as described in section 7.
